Welcome to cooperate with Hubei SecondMap Information Technology Co., Ltd. (hereinafter referred to as "SecondMap"). This Partnership Statement (hereinafter referred to as the "Statement") constitutes a legally binding agreement between you and SecondMap regarding cooperation matters. Please read all contents of this statement carefully, especially the bold or underlined parts. If you have any questions about this statement, please contact our customer service team. Your cooperation with SecondMap in any form shall be deemed as your having read, understood and agreed to all contents of this statement.
SecondMap is a professional 3D modeling and spatial information technology service provider. Its main business scope includes:
SecondMap cooperates with professionals such as UAV pilots and 3D modeling engineers to jointly provide customers with high-quality 3D modeling solutions.
The cooperation process between SecondMap and partners is as follows:
Partners need to submit cooperation applications through official channels of SecondMap, providing real, accurate and complete personal or corporate information and relevant qualification certificates. SecondMap will complete the review within 5 working days after receiving the application and notify the applicant of the review results.
After the review is passed, applicants need to complete the test tasks designated by SecondMap to evaluate whether their professional abilities meet the cooperation requirements. The quality of completing the test tasks will be an important basis for deciding whether to establish a cooperative relationship.
Applicants who pass the test evaluation need to sign a formal cooperation agreement with SecondMap, clarifying the rights and obligations of both parties, cooperation scope, service standards, remuneration settlement and other matters.
After the cooperation agreement takes effect, SecondMap will allocate corresponding work tasks based on project requirements and factors such as the partner's professional field and geographical location. Partners should complete the work according to the agreement and project requirements.
After the project is completed and accepted, SecondMap will settle the remuneration according to the agreement. At the same time, both parties will evaluate this cooperation, and the evaluation results will affect future cooperation opportunities.
SecondMap will only collect the necessary information of partners for the purpose of cooperation, including but not limited to identity information, contact information, qualification certificates, bank account information, etc. The above information will only be used for cooperation-related matters such as cooperation management, project allocation, and remuneration settlement.
SecondMap will adopt reasonable technical and management measures to protect the security of partner information, preventing information leakage, loss or tampering. Without the explicit consent of the partner, SecondMap will not disclose the partner's personal information to any third party, except as otherwise provided by laws and regulations.
Partners shall strictly keep confidential the customer information, project data and other trade secrets they come into contact with during the cooperation process, and shall not disclose them to any third party or use them for purposes other than cooperation. After the cooperation terminates, the relevant data materials shall be returned or destroyed according to SecondMap's requirements.
During the cooperation period and within 3 years after the termination of cooperation, SecondMap may retain the relevant information of partners for purposes such as fulfilling contractual obligations, resolving disputes, and complying with laws and regulations. After the above period, SecondMap will anonymize or delete the relevant information.
SecondMap owns the intellectual property rights of all its website, software systems, technical documents, modeling standards, project templates and other content. Partners can only use the above content within the scope of cooperation according to SecondMap's authorization, and may not copy, modify, distribute or use it for other purposes without authorization.
The intellectual property rights of technologies, software, works, etc. that partners owned before cooperation still belong to the partners. However, the intellectual property rights of the results created by partners to complete the project tasks assigned by SecondMap (hereinafter referred to as "work results") shall be implemented according to the specific project agreement.
Unless otherwise agreed in writing, the intellectual property rights of work results completed by partners for SecondMap belong to SecondMap or SecondMap's customers. Partners have the right of attribution, but may not use the work results for other commercial purposes.
Partners guarantee that their services and work results do not infringe the intellectual property rights of any third party. If SecondMap suffers losses due to partners' services or work results infringing the intellectual property rights of third parties, partners shall bear all compensation responsibilities.
SecondMap's website may collect users' browsing information through cookies or other technologies, including but not limited to access time, accessed pages, IP addresses, browser types, etc., for improving website services, analyzing user behavior, and providing personalized content.
The personal information collected by SecondMap's website will be strictly processed and protected in accordance with this statement and relevant privacy policies. Users can manage their personal information and privacy preferences through the functions provided by the website.
SecondMap's website may contain links to third-party websites, whose privacy policies may differ from SecondMap's. SecondMap is not responsible for the privacy protection measures of third-party websites. It is recommended that users carefully read their privacy policies when visiting third-party websites.
SecondMap's website does not specifically provide services for minors. If minors provide personal information without the consent of their guardians, their guardians may contact SecondMap to request the deletion of relevant information.
Partners should provide services according to SecondMap's service standards and project requirements to ensure service quality. SecondMap has the right to supervise and evaluate partners' services, and has the right to require rectification or refuse acceptance of services that do not meet standards.
The price of cooperative projects will be determined by both parties before the project starts, based on factors such as project complexity, workload, and completion time. After the project is completed and accepted, SecondMap will pay the corresponding remuneration within the agreed settlement cycle.
Partners may not use their cooperative relationship with SecondMap to unfairly compete for SecondMap's customers or project resources. Without SecondMap's written consent, partners may not bypass SecondMap to directly conduct business cooperation with SecondMap's customers.
The cooperation relationship will automatically terminate when the cooperation period expires and both parties do not renew the agreement. If one party seriously violates the provisions of this statement or the cooperation agreement, the other party has the right to terminate the cooperation relationship in advance and require the defaulting party to bear corresponding liability for breach of contract.
During the cooperation period and within 6 months after the termination of cooperation, partners may not directly or indirectly provide services identical or similar to the cooperation content to enterprises that compete with SecondMap, unless they obtain SecondMap's written permission.
Any disputes arising from this statement or cooperation matters shall first be resolved through friendly consultation between both parties. If no agreement can be reached, either party has the right to file a lawsuit with the people's court having jurisdiction in SecondMap's location.
During the dispute resolution period, both parties should continue to perform the other clauses of this statement except for the disputed matters.
SecondMap has the right to modify this statement according to changes in laws and regulations or business development needs. The modified statement will be published on SecondMap's website and will take effect from the date of publication. Partners are advised to regularly check the latest version of this statement.
Any notices and documents between the two parties can be served through the contact information, email or SMS specified in this statement. Notices sent by email or SMS shall be deemed served when sent; notices sent by mail shall be deemed served on the third day after mailing (based on the postmark).
If either party is unable to perform this statement due to force majeure factors such as earthquakes, typhoons, floods, fires, wars, government actions, or epidemics, the affected party shall promptly notify the other party and provide proof within a reasonable period. Depending on the impact of force majeure, liability may be partially or fully exempted, but efforts should be made to minimize losses.
This statement constitutes the complete agreement between the two parties regarding cooperation matters, replacing all previous oral or written agreements, understandings and commitments between the two parties. If this statement is inconsistent with the specific cooperation agreement signed by both parties, the specific cooperation agreement shall prevail.
